Terms of Service

These terms (the “Terms”) form an agreement between you and Exito Group Co., Ltd. (“Exito Group”, “we”) governing your use of exitogroup.co.th and the services, software, applications and integrations we provide (the “Services”). By using the Services you accept these Terms. If you do not accept them, please stop using the Services.

1. Definitions

  • “Client” — an organisation or person that engages us to build or operate a system.
  • “End user” — a person who messages or otherwise interacts with a system we build, such as someone who writes to a Client's page.
  • “Meta platforms” — Facebook, Messenger, Instagram, the WhatsApp Business Platform and related APIs operated by Meta Platforms, Inc.

2. Scope of services

We provide consulting and development for AI, chatbot, data & analytics and marketing-automation solutions, including integrations with Meta platforms. The scope, timeline and fees of each project are set out in the quotation or statement of work agreed in writing, which prevails over these Terms in the event of conflict.

3. Meta platform integrations

Parts of our Services run through an application registered with Meta in order to send and receive messages and manage data on Facebook Pages, Instagram accounts or WhatsApp Business numbers — ours or our Clients'. Accordingly:

  • When you connect a page or account to our app, you represent that you own it or are duly authorised to manage it.
  • We request only the permissions and access strictly needed for the agreed features.
  • We comply with the Meta Platform Terms, the Developer Policies and the Messenger/WhatsApp messaging policies. We do not sell or rent data obtained from Meta platforms, and we do not use it beyond the disclosed purposes.
  • Our Services are not a Meta product. Meta does not endorse, sponsor or assume any liability for them.
  • You may disconnect at any time via Facebook/Instagram settings (Settings > Business Integrations) or by telling us. See User Data Deletion for how to request erasure.

4. Acceptable use

You agree not to use the Services to:

  • send spam, deceptive messages, or messages that breach platform messaging policies (for example promotional messages outside the permitted window, or to people who have not opted in);
  • publish unlawful, infringing, obscene, hateful or misleading content;
  • scrape, reverse-engineer, penetrate or probe systems without written authorisation;
  • use the Services in a way that would put us or our Clients in breach of Thai law or the policies of the relevant platform.

We may suspend or terminate the Services immediately if we find use that breaches these Terms or Meta's policies.

5. Personal data roles

Where we build or operate a system for a Client, the Client is generally the data controller and Exito Group is the data processor under Thailand's Personal Data Protection Act B.E. 2562 (PDPA). The Client is responsible for having a lawful basis or consent from end users and for publishing its own privacy notice; we process data on the Client's instructions and in accordance with our Privacy Policy.

6. Fees and payment

Fees, payment schedules and renewal terms follow the agreed quotation or contract. Quoted prices exclude VAT and third-party costs (such as WhatsApp conversation charges, ad spend, AI model usage and hosting) unless stated otherwise. Overdue payment may result in temporary suspension of the Services.

7. Intellectual property

The content, logos, trademarks and software on this website belong to Exito Group or its licensors and may not be reproduced or adapted commercially without permission. For client work, ownership of deliverables follows the engagement contract; we retain rights in our pre-existing and reusable tools, libraries and general know-how.

8. Confidentiality

Each party will keep the other's confidential information secret and use it only for the purposes of the project. This obligation survives termination.

9. Warranties and limitation of liability

  • The Services are provided “as is”. We do not warrant that the website or third-party APIs will run uninterrupted or error-free.
  • AI output may be inaccurate or incomplete. It is not legal, financial or medical advice, and should be reviewed by a human before it informs a significant decision.
  • We are not liable for indirect or consequential damages, or loss of profit or business opportunity. Our total aggregate liability is capped at the fees actually paid to us in the six months preceding the event.
  • We are not liable for changes in policy or pricing, or account suspensions, by external platform providers, including Meta.

10. Termination and data deletion

Either party may terminate as provided in the contract. On termination we revoke access tokens and delete or return data on request — see User Data Deletion.

11. Changes to these Terms

We may update these Terms from time to time; the update date is shown above. Continued use after a change constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by Thai law, and the courts of Thailand have jurisdiction.
